These Terms of Service ("Terms") govern your use of DocuChat ("we," "our," or "us") and the services provided at docuchat-drab.vercel.app (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Service Description

DocuChat is an AI-powered chatbot builder that allows you to create customer support chatbots trained on your website content. The Service includes website crawling, AI chatbot generation, an embeddable chat widget, conversation analytics, and related features.

2. Account Registration

You must create an account to use the Service. You agree to provide accurate information and to keep your login credentials secure. You are responsible for all activity that occurs under your account. You must be at least 16 years old to use the Service.

3. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Distribute malware, spam, or harmful content through your chatbot
  • Crawl or train chatbots on websites you do not own or have permission to use
  • Generate misleading, deceptive, or fraudulent chatbot responses
  • Attempt to reverse-engineer, disassemble, or otherwise exploit the Service
  • Use the Service to build a competing product
  • Exceed reasonable usage limits or abuse the Service infrastructure

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

4. Subscription Plans and Payment

DocuChat offers free and paid subscription plans. Paid plans are billed monthly through our payment processor, LemonSqueezy.

  • Billing — Paid subscriptions are billed in advance on a monthly recurring basis. You authorize us to charge your payment method on file.
  • Plan Limits — Each plan has defined limits on the number of chatbots, messages, and features available. If you exceed your plan limits, you may need to upgrade.
  • Cancellation — You may cancel your subscription at any time through your account settings or by contacting us. Your access to paid features will continue until the end of your current billing period.
  • Refunds — We do not offer refunds for partial billing periods. If you cancel, you retain access to paid features until your current period ends.
  • Price Changes — We may change our pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Data Ownership and Intellectual Property

  • Your Content — You retain all rights to the website content you provide for chatbot training and any data you upload to the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service.
  • Our Service — DocuChat, its design, features, code, and documentation are our intellectual property. You may not copy, modify, or distribute any part of the Service without our written permission.
  • Chatbot Responses — AI-generated chatbot responses are produced using your content. You are responsible for the accuracy and appropriateness of the responses your chatbot provides to your visitors.

6. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.

7. Limitation of Liability

To the maximum extent permitted by law, DocuChat and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claims arising from the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Disclaimer on AI Responses

Chatbot responses are generated by artificial intelligence and may not always be accurate or complete. You acknowledge that AI-generated content may contain errors and that you are solely responsible for reviewing and monitoring the responses your chatbot provides. DocuChat is not liable for any damages caused by inaccurate or misleading chatbot responses.

9. Termination

  • By You — You may delete your account at any time. Upon deletion, your data will be permanently removed within 30 days.
  • By Us — We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if we are required to do so by law. We will provide notice where reasonably possible.
  • Effect of Termination — Upon termination, your right to use the Service immediately ceases. Sections relating to intellectual property, limitation of liability, and indemnification survive termination.

10. Indemnification

You agree to indemnify and hold harmless DocuChat and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration.
